Business terms
This is an earlier version of this page. Read the current version
These terms apply when an organisation – a company, school, institution or venue – gets Noiserun from Lodo, s. r. o., Mikovíniho 19, 917 02 Trnava, Slovakia, Company ID 54 239 583, registered in the Commercial Register of the District Court Trnava, section Sro, file no. 50455/T ("we", "us"). They cover Premium Business (Premium for your people) and Spaces (screens in your venue), including free pilots and trials.
"You" means the organisation. The person who accepts these terms confirms they may do so for it. These terms are for businesses only, not for consumers.
The short version
- Premium Business gives each of your people Premium on their own account, for personal use at work and at home.
- Spaces plays Noiserun on the screens of a location, in public, run from one phone.
- Pilots and trials are free and end by themselves.
- We invoice yearly in advance. Prices are without VAT.
- A licence doesn't renew by itself: you stay by accepting our offer for the next year.
- You never see what an individual listens to. You see totals for groups of at least 5 people.
- Slovak law applies.
1. How our agreement is made
Our agreement is made when you accept our offer (by signing it, confirming it by e-mail or paying our invoice) or when you start a pilot or trial we set up for you.
The agreement consists of, in this order of priority:
- the offer we sent you (products, number of seats or locations, price, term),
- these business terms,
- our Data protection terms for organisations.
Your people use their own Noiserun accounts under our Terms of service and Privacy policy. Your own purchase terms don't apply unless we agree to them in writing.
2. Words we use
- Licence – what you get from us for a term: Premium Business with a number of seats, or Spaces for one or more locations.
- Seat – one place in Premium Business for one person. An invitation that hasn't been accepted yet also takes a seat.
- Member – a person who joined your licence. Admins manage the licence; curators pick scenes for your people.
- Location – one venue at one address, for example one café, lobby, clinic or reception.
- Screen – a TV, computer, tablet, projector or other display paired with your Spaces licence.
- Manager – a person who runs your Spaces screens from the app.
- Organisation portal – the page where your admins manage the licence (play.noiserun.com/org).
3. Premium Business
Each member gets Noiserun Premium on their own account: every scene and pack, including new ones, on their own phone, computer and TV, at work and at home, for personal use.
- Inviting people. Your admins invite people by e-mail, or let anyone with an e-mail address at your organisation's domain join by signing in, while seats are free.
- Seats. You can remove a member and give the seat to someone else at any time. Adding seats or changing the number is agreed with us (section 7).
- Curator picks. Admins and curators can choose scenes that your people see in the app as a row "From" and your organisation's name.
- Overview. Your admins see totals for the organisation, only for groups of at least 5 people: how many people joined and used Noiserun in the last 30 days and, from people who chose to link their statistics to their account, hours listened, the kinds of sound and the time of day. Never who listened to what.
- Each person's own account. Accounts, Library and anything a member buys belong to that member, not to you. When a member leaves or the licence ends, Premium from your licence ends for them; they keep their account and Library.
- Not for public screens. Premium Business is for each person's own devices. Screens or speakers that guests, customers or a whole office see or hear need Spaces.
4. Spaces
Spaces plays Noiserun scenes, with their sound, on the screens of your location.
- Screens. You can use any number of screens at each location, unless the offer sets a limit.
- Managers. Your managers pair screens at noiserun.com/pair and choose what plays from the Spaces window in the app: one scene on every screen, or a different one on each. Managers can invite other managers. Spaces doesn't give managers personal Premium.
- Playing on their own. Screens keep playing when the manager's phone is off or signed out. After a power cut, a screen that opens noiserun.com/pair picks up by itself, though some browsers need someone to press OK once before sound starts.
- What you need. A screen with an up-to-date web browser and an internet connection, or a computer connected to a screen, plus speakers if you want sound. Picture quality adapts to what each screen can play smoothly. You are responsible for your equipment, network and the volume you choose.
- When it ends. When the Spaces licence ends, the screens stop and show that Spaces has ended.
Public playback licence. For each location in your Spaces licence, during its term, we allow you to show and play Noiserun scenes and their sound in public on screens and speakers at that location. This licence does not allow you to:
- record, copy or broadcast scenes or sound, or show them anywhere other than the location,
- use them in advertising, videos, social media posts or other products,
- play them through Premium or Premium Business instead of Spaces.
Music licences. All scenes and sound in Noiserun are made by Noiserun; we don't use third-party music. We hold the rights needed to give you the licence above. Rules for playing sound in public differ by country, so we confirm in the offer what applies to you. You remain responsible for any other content you play at your location.
5. Pilots and trials
We may set up a free pilot of Premium Business or a free trial of Spaces. Its length and the number of people or locations are in our e-mail or offer.
- No payment details are needed.
- It ends by itself on the date we tell you. It doesn't turn into a paid licence unless you accept an offer.
- We provide it as it is, to let you try Noiserun. We may end it early if it is misused.
6. Price, invoices and payment
- Price. The price is in the offer. Prices are without VAT.
- VAT. We add VAT where the law requires it. For organisations in another EU country with a valid VAT ID, the reverse charge applies, and the invoice says so.
- Invoices. We invoice yearly in advance, at the start of each term, and send the invoice as a PDF by e-mail.
- Payment. Please pay by bank transfer to the account on the invoice, by its due date.
- Late payment. If an invoice isn't paid on time, we send a reminder. We may charge interest on late payments as Slovak law allows. If an invoice is still unpaid 14 days after the reminder, we may suspend the licence until it is paid.
- Corrections and refunds. We never change an issued invoice. Corrections and refunds are made with a credit note.
Buying in the app by card. If the app offers a plan for organisations by card and you buy it that way, Paddle sells it to you as our reseller: Paddle takes the payment, charges the tax, sends the invoice and renews the plan for each billing period until you cancel, under the Paddle Buyer Terms. Everything else in these business terms applies to using it. Our Refund policy explains how to cancel and ask for a refund.
7. Changes during the term
- More seats or locations. You can add seats or locations at any time. We invoice them for the rest of the current term, at the price per seat or location in your offer.
- Fewer seats or locations. You can reduce them for the next term. We don't refund unused seats or locations during the term, unless these terms or the law say otherwise.
8. Term, renewal and ending
- Term. A licence runs for the term in the offer, usually 12 months.
- Next term. A licence doesn't renew by itself. At least 30 days before the end of the term, we send you an offer for the next one, with any new price. If you accept it or pay its invoice, the licence continues without a break. If you don't, it ends at the end of the term.
- Ending for a serious breach. Either of us can end the agreement in writing if the other seriously breaks it and doesn't put it right within 30 days of being told, or right away if the other becomes insolvent.
- Ending because of changes. If we change these terms or Noiserun in a way that is significantly worse for you, you can end the agreement before the change applies, and we refund the prepaid fees for the rest of the term.
- What happens at the end. Premium for your members and your Spaces screens stop. Your people keep their accounts, Library and their own purchases. We keep your invoices and order records as accounting law requires.
9. Your responsibilities
You agree to:
- invite only people you are allowed to give Noiserun to, such as your employees, contractors, students or members, and use only e-mail addresses you may share with us,
- tell your people about Noiserun and how their data is handled (our Data protection terms for organisations include a short text you can use),
- keep your admins' and managers' e-mail accounts secure, and tell us if you think one was misused,
- use Spaces for screens and speakers that the public, customers or a whole workplace see or hear,
- not try to find out what an individual listens to, and not ask us for it,
- follow the fair use rules in our Terms of service.
10. Our responsibilities
We will:
- provide Noiserun as described in the offer and on our website, with reasonable skill and care,
- help your admins and managers by e-mail at hello [at] noiserun.com, usually within a few working days,
- keep Noiserun secure and up to date,
- tell you in advance about changes that significantly affect your licence.
We work to keep Noiserun available at all times, but we don't promise uninterrupted service. We may need short breaks for maintenance, which we try to make outside usual opening hours.
11. Data protection
Your people's accounts and what they listen to are handled by us under our Privacy policy. You and we each decide separately how we use personal data; our Data protection terms for organisations explain the roles and what each of us promises. You get only the people list and the totals described in section 3.
12. Rights in Noiserun
Noiserun, its scenes, sound, software, names and designs belong to Lodo, s. r. o.. You get only the rights described in these terms, for the term of your licence. If you send us feedback, we may use it freely.
13. If something doesn't work
Tell us at hello [at] noiserun.com. We fix problems that are on our side within a reasonable time. If a serious problem on our side makes the licence unusable for more than 7 days in a row, you can end it and we refund the prepaid fees for the rest of the term.
14. Liability
- Each of us is liable for damage caused by breaking this agreement, as Slovak law provides.
- We are not liable for lost profit, lost data on your side, or other indirect damage that we could not foresee when the agreement was made.
- Our total liability under this agreement in any 12 months is limited to the fees you paid for those 12 months. During a free pilot or trial, it is limited to €100.
- These limits don't apply to damage caused on purpose or through gross negligence, to injury, or where the law doesn't allow a limit.
15. Events outside our control
Neither of us is liable for a delay or failure caused by events outside our reasonable control, such as power or network outages, attacks, natural disasters or government action, for as long as they last.
16. Confidentiality and references
We each keep the other's non-public business information, including the offer and prices, confidential, except where the law requires otherwise or for our advisers. We mention you as a customer, or show your logo, only with your written permission.
17. Changes to these terms
We may update these terms. We tell your admins by e-mail at least 30 days before a change applies. Changes apply from your next term, unless they are needed earlier for legal or security reasons or are in your favour.
18. Other things
- Notices go by e-mail: ours to the contact e-mail in your organisation's details, yours to hello [at] noiserun.com.
- Neither of us may transfer this agreement without the other's consent, except to a company that takes over the business.
- If any part of these terms is not valid, the rest still applies.
- These terms are written in English.
19. Law and courts
This agreement is governed by Slovak law, in particular the Commercial Code. The UN Convention on Contracts for the International Sale of Goods doesn't apply. Disputes go to the courts of the Slovak Republic competent for our registered office.
